We represent issuers, arrangers, underwriters, placement agents, trustees, banks, collateral managers, lenders and borrowers in all sorts of equity investments and placements and other capital market transactions. Our clients can count on our corporate finance practice to see them through all of the issues related to structured finance, products and securitization. Our advice covers all perspectives, and our relationships include connections to many sources of capital.

We advise on securities matters at all points in a company’s life cycle – from inception and early funding stages to IPO, and follow-on offerings of all kinds to finance operations, expansion, acquisitions and other corporate objectives. Our practice spans a wide range of industries including banking, healthcare, petrochemicals, telecommunications, real estate, construction and the automotive sector.

In the area of securitizations and structured finance, El-Khoury & Partners Legal Counsel lawyers stand out for their ability to find innovative solutions as they maximize the financial benefit and flexibility of our clients’ asset-backed securitizations. El-Khoury & Partners Legal Counsel is proficient at devising unique finance structures and developing new asset classes and securitization programs for first-time issuers and investors, and counseling on servicing, lending or investing in financially troubled securitizations.

Our attorneys have extensive experience in advising on the set-up of private equity funds across the Gulf region; they have notably advised on the establishment of a USD 500 million private equity fund in the Kingdom of Saudi Arabia. We also have particular expertise in capitalization deals involving real estate investment activities in the region. We assisted in the creation of a public joint-stock company with capitalization of USD 270 million to carry out real estate investment activities, as well as an anticipated IPO for 25% of its initial capital in Saudi Arabia. We also represented a major construction company in restructuring one of its divisions and related private placements, in anticipation of a subsequent IPO.

Over the past decade, Islamic finance has undergone rapid growth and transformation in the emerging markets of the region as well as in Europe and East Asia, presenting a maze of opportunities and challenges for practitioners. We are able to draw upon our deep understanding of the religious legal principles supporting Sharia’a-compliant structures and our knowledge of the developing financing techniques to offer tailored advice and master the legal complexities of an Islamic finance transaction while securing the best interest of our clients. We have assisted in a number of Islamic financing transactions involving major banks in Saudi Arabia and Bahrain, and two of our attorneys have been awarded the Islamic Finance Qualification (IFQ).
